Welcome to Midori Bikinis. The terms “we,” “us,” and “our” refer to Midori Bikinis Inc. Midori Bikinis operates this store and website, including all related information, content, features, tools, products, and services offered to provide you with a curated shopping experience (the “Services”). Midori Bikinis is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with any policies referenced herein (the “Terms of Service” or “Terms”), describe your rights and responsibilities when you use the Services.

Please read these Terms carefully. They include important information about your legal rights, including warranty disclaimers and limitations of liability. By visiting, interacting with, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, you should not access or use the Services.

SECTION 1 - ACCESS AND ACCOUNTS

By agreeing to these Terms, you represent that you are at least the age of majority in your state, province, or country of residence, or that you are the age of majority and have given us permission to allow your minor dependents to use the Services on devices you own, purchase, or manage.

To use certain Services, including purchasing products, you may be asked to provide information such as your email address and billing, payment, and shipping information. You represent that the information you provide is accurate, current, and complete and that you have the right to provide it.

You are responsible for maintaining the security of your account credentials and for activity conducted through your account. You may not sell, transfer, assign, or license your account to another person.

SECTION 2 - OUR PRODUCTS

We make every reasonable effort to display and describe our products accurately. However, colors and product appearance may vary depending on your device, screen settings, lighting, and other factors. Print placement may also vary from item to item.

All product descriptions, availability, and pricing are subject to change without notice. We reserve the right to discontinue a product or limit quantities offered to any person, household, geographic region, or jurisdiction on a case-by-case basis.

Fit, coverage, and support may vary by style and body type. Size guides and fit recommendations are provided as general guidance and do not guarantee a particular fit.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase. We reserve the right to accept, decline, limit, or cancel an order for any lawful reason. An order is not accepted until payment has been authorized and we confirm acceptance.

Please review your order carefully before submitting it. Order changes and cancellations are never guaranteed. If you need assistance, contact us within two hours of placing your order and we will make every reasonable effort to help before processing begins. Orders are generally processed within one business day.

We may limit or cancel quantities purchased per person, household, account, payment method, billing address, or shipping address. We may also limit or prohibit orders that appear to be placed by dealers, resellers, distributors, or other unauthorized commercial purchasers.

If we decline, change, or cancel an order, we will attempt to notify you using the email address, billing address, or phone number provided with the order.

Purchases are eligible for return or exchange only as provided in our Returns & Exchanges Policy. Items marked Final Sale are not eligible for return or exchange.

SECTION 4 - PREORDERS

A preorder is an order for an item that is not yet ready to ship. The estimated shipping timeframe shown on the product page when you place your order is our good-faith estimate and is not a guaranteed shipment or delivery date.

Orders containing one or more preorder items will ship when all items in the order are ready. In-stock items purchased with preorder items will not ship separately unless we expressly state otherwise or make other arrangements with you.

If a preorder is delayed beyond the stated timeframe, we will provide an update and any options required by applicable law. If we are unable to ship within the promised timeframe, we may request your consent to the delay or issue a refund for the unshipped merchandise.

SECTION 5 - PRICES, DISCOUNTS, AND BILLING

Prices, discounts, and promotions may change without notice. The price charged will be the price displayed when your order is placed and will appear in your order confirmation. Unless expressly stated otherwise, displayed prices do not include taxes, shipping, handling, customs duties, or import charges.

Discount and promotional codes cannot be combined or stacked unless expressly stated. Promotions may have separate terms, expiration dates, exclusions, or availability limits. If promotion terms conflict with these Terms, the promotion terms will control.

You agree to provide current, complete, and accurate purchase, payment, and account information. You represent that you are authorized to use the payment method submitted and agree to pay all charges associated with your order, including applicable taxes and shipping charges.

SECTION 6 - SHIPPING AND DELIVERY

Most U.S. orders arrive within 2–7 business days after shipment. These transit times are estimates and are not guaranteed unless a guaranteed service is expressly identified at checkout. Processing time and carrier transit time are separate.

We are not responsible for delays caused by shipping carriers, customs processing, severe weather, service disruptions, incorrect or incomplete addresses, or events outside our reasonable control.

You are responsible for entering a complete and accurate shipping address and reviewing it before submitting your order. Once a package has shipped, we cannot guarantee that it can be redirected. Our responsibilities for lost, delayed, stolen, misdelivered, or incorrectly addressed packages are explained in our Shipping Policy, subject to applicable law.

International customers are responsible for any applicable customs duties, import taxes, brokerage fees, or similar charges imposed by the destination country unless expressly stated otherwise.

SECTION 7 - RETURNS AND EXCHANGES

Eligible U.S. purchases may be returned or exchanged within 30 days in accordance with our Returns & Exchanges Policy. Swimwear must be unworn, unwashed, and returned with its original tags and hygienic liner attached. Final Sale items are not eligible for return or exchange.

Approved refunds are generally processed within 7–10 business days after the returned merchandise is received and inspected. Your financial institution may require additional time to post the refund.

SECTION 8 - INTELLECTUAL PROPERTY

The Services, including our trademarks, brand names, logos, text, product names, designs, photographs, graphics, reviews, videos, audio, and the selection and arrangement of such content, are owned by Midori Bikinis, our affiliates, or our licensors and are protected by applicable intellectual-property laws.

You may use the Services only for personal, noncommercial purposes. Without our prior written permission, you may not reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store, sell, or transmit materials from the Services except as permitted by law.

Nothing in these Terms grants you a license or other right to use any trademark, copyright, patent, design, or other intellectual property belonging to Midori Bikinis, Shopify, or any third party. All rights not expressly granted are reserved.

SECTION 9 - OPTIONAL TOOLS

We may provide access to tools offered by third parties that we do not monitor or control. These tools are provided “as is” and “as available” without warranties, representations, conditions, or endorsement to the fullest extent permitted by law.

Your use of optional third-party tools is at your own risk and discretion. You should review and approve the terms under which the relevant third party provides those tools. New features, tools, or resources added to the Services will also be subject to these Terms.

SECTION 10 - THIRD-PARTY LINKS

The Services may contain materials, embedded functionality, or links to websites operated by third parties. We are not responsible for evaluating the content, accuracy, security, products, services, or practices of third-party websites.

If you leave the Services to access a third-party website, you do so at your own risk. Review the third party’s policies before completing a transaction. Questions or claims regarding third-party products or services should be directed to that third party.

SECTION 11 - RELATIONSHIP WITH SHOPIFY

Midori Bikinis is powered by Shopify, which enables us to provide the Services. However, purchases made through our store are transactions directly between you and Midori Bikinis. Shopify is not the seller of our products and is not responsible for sales between you and Midori Bikinis, including any injury, damage, or loss arising from products purchased from us. To the fullest extent permitted by law, you release Shopify and its affiliates from claims, damages, and liabilities arising from or related to purchases and transactions with Midori Bikinis.

SECTION 12 - PRIVACY

Personal information collected through the Services is governed by our Privacy Policy. Certain personal information may also be subject to Shopify’s Privacy Policy.

Because Shopify hosts the Services, Shopify processes information about your access to and use of the Services. Information submitted through the Services may also be transmitted to Shopify and other service providers, including providers located outside your country of residence, as described in our Privacy Policy.

SECTION 13 - FEEDBACK, REVIEWS, AND SUBMISSIONS

If you submit reviews, photographs, videos, ideas, suggestions, feedback, proposals, or other content (“Feedback”), you grant us a worldwide, perpetual, transferable, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, display, and otherwise use that Feedback in any medium for lawful business purposes, including operating, improving, and promoting the Services.

You represent that you own or have the necessary rights to submit the Feedback, that you have disclosed any compensation or incentive connected with it, and that it does not violate another person’s intellectual-property, privacy, publicity, or other rights.

We are not obligated to keep Feedback confidential, compensate you for it, or respond to it. We may monitor, edit, or remove Feedback that we determine violates these Terms or applicable law. You remain responsible for the accuracy and content of your Feedback.

SECTION 14 - ERRORS, INACCURACIES, AND OMISSIONS

Information on the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, or availability. We reserve the right to correct errors, update information, or cancel affected orders at any time without prior notice, including after an order has been submitted, subject to applicable law.

You may use the Services only for lawful purposes. You may not use the Services to violate laws or regulations; infringe intellectual-property or other rights; harass, abuse, threaten, defame, discriminate against, or harm another person; submit false or misleading information; transmit malware or destructive code; send spam or unauthorized solicitations; impersonate another person or entity; collect another person’s information without authorization; scrape or extract content in violation of these Terms; interfere with security features; or otherwise restrict another person’s use of the Services.

We may suspend or terminate access to the Services if we reasonably determine that these Terms have been violated.

We may terminate these Terms or your access to all or part of the Services at any time, subject to applicable law. You remain responsible for amounts due through the date of termination.

Provisions that by their nature should survive termination will remain in effect, including provisions concerning intellectual property, Feedback, warranty disclaimers, limitation of liability, indemnification, severability, governing law, and privacy.

Information presented through the Services is provided for general informational purposes. We do not warrant that the information is complete, current, accurate, or suitable for every purpose.

Some jurisdictions do not allow certain warranty exclusions, so some or all of these exclusions may not apply to you. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

SECTION 18 - LIMITATION OF LIABILITY

To the fullest extent permitted by law, Midori Bikinis and our affiliates, directors, officers, employees, agents, contractors, service providers, licensors, and partners will not be liable for indirect, incidental, punitive, special, exemplary, or consequential damages, including lost profits, lost revenue, lost savings, lost data, or replacement costs, arising from your use of the Services or products purchased through the Services, even if advised that such damages were possible.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability will be limited to the maximum extent permitted by law. Nothing in these Terms limits liability that cannot lawfully be limited.

SECTION 19 - INDEMNIFICATION

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Midori Bikinis, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, losses, liabilities, damages, and reasonable attorneys’ fees arising from your material breach of these Terms, your violation of applicable law or another person’s rights, or your misuse of the Services.

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law and the unenforceable portion will be deemed severed. The remaining provisions will remain valid and enforceable.

Our failure to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms and the policies incorporated by reference constitute the entire agreement between you and Midori Bikinis regarding your use of the Services and supersede prior or contemporaneous agreements and communications concerning the Services.

You may not transfer or assign these Terms or your rights or obligations under them without our prior written consent. We may transfer or assign our rights and obligations as part of a merger, acquisition, financing, corporate reorganization, sale of assets, or similar transaction, or as otherwise permitted by law.

These Terms and any separate agreements through which we provide Services will be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles. Subject to applicable law, you and Midori Bikinis consent to personal jurisdiction and venue in the state and federal courts located in San Diego County, California.

You may review the current version of these Terms at any time on this page. We may update, change, or replace part of these Terms by posting an updated version to the website. Where required by law, we will provide notice of material changes. The updated Terms will take effect on the date stated in the notice or when posted. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
